CA Research Credit - Form 3523
Form FTB 3523, titled "Research Credit," is used by California taxpayers to compute and claim the California research credit. This credit supports businesses that increase their research activities within the state. The form is applicable to corporations, S corporations, estates, trusts, partnerships, and limited liability companies (LLCs).

Key Features of the California Research Credit
- 15% Credit Rate: The credit is generally 15% of the excess of qualified research expenses (QREs) over the base period research expenses.
- Basic Research Credit: Corporations may also claim an additional credit for cash payments made to qualified universities or scientific research organizations, provided the research is conducted in California.
- Alternative Simplified Credit (ASC): For taxable years beginning on or after January 1, 2025, California conforms to the federal ASC. The ASC is 3% of QREs exceeding 50% of the average QREs from the three preceding years. If no QREs existed in any of those years, the credit is 1.3% of current-year QREs.
- Pass-Through Entities: S corporations, partnerships, and LLCs pass through their research credit to shareholders, partners, or members. The distributive share is reduced by applicable percentages: 87.7% for individuals, estates, and trusts; 91.16% for corporations; and 98.5% for S corporations.
How to Calculate the Credit
- Line 27: Enter qualified research expenses (QREs) for the prior three tax years, limited to those conducted in California.
- Line 14: The base amount cannot be less than 50% of current-year QREs.
- Line 17b: For pass-through entities, multiply the credit amount by the applicable reduction percentage based on entity type.
Important Notes
- The credit cannot reduce minimum franchise tax, annual tax, alternative minimum tax, built-in gains tax, or excess net passive income tax.
- Credits can reduce regular tax below tentative minimum tax (TMT).
- Attach Form FTB 3523 to appropriate California returns: Form 1008 (S Corporation), Form 541 (Fiduciary), Form 565 (Partnership), or Form 568 (LLC).
Example Calculation
For an S corporation generating $3,000 in research credit:
- $3,000 × 1/3 = $1,000 (one-third of total credit)
- $1,000 × 98.5% = $985 (credit available for the year)
